1) Scope of Services
GKprog provides services including (but not limited to):
- Artificial Intelligence (AI) systems and automation solutions
- Industrial Automation & Robotics integration, commissioning, and support
- Website design and development
- Software development & POS systems
- IT support and technical consulting
- Computer, laptop, and mobile device services
The exact scope, deliverables, timelines, acceptance criteria, and pricing are defined in a written proposal, statement of work (SOW), quotation, or contract.
2) Enterprise & Industrial Environments
For enterprise, industrial, and robotics deployments, the client is responsible for: site safety, hazard controls, operator training, protective guarding, lockout/tagout procedures, and compliance with applicable standards and regulations. GKprog may provide guidance, but the client retains operational control of the environment.
3) AI Use & Compliance
Lyra AI is GKprog’s primary AI system, created by Ethan under GKprog, and may be used to support analysis, automation, software development, and client assistance.
- Human oversight: AI outputs may require human review/validation before use in production or safety-critical contexts.
- No guaranteed accuracy: AI may produce incomplete or incorrect results; clients must verify suitability.
- Safety-critical restriction: Unless explicitly contracted with documented safeguards, AI outputs are not intended as the sole basis for safety decisions (e.g., robotics safety, medical, legal, compliance sign-off).
- Regulatory responsibility: Clients are responsible for meeting industry and legal obligations for their use case.
4) Payments, Fees & Subscriptions
- Invoices are payable per the agreed payment terms.
- Deposits (if applicable) are generally non-refundable once work begins.
- Ongoing services (hosting, maintenance, monitoring, support) may be billed monthly/annually as agreed.
- Non-payment may result in suspension of services or delivery.
5) Client Responsibilities
- Provide timely access, requirements, assets, and accurate information.
- Maintain backups unless backup service is included in writing.
- Ensure lawful use of all systems and content (licenses, copyrights, data rights).
6) Intellectual Property
- Work product remains GKprog property until full payment is received, unless stated otherwise.
- Upon full payment, ownership or license rights transfer as defined in the agreement.
- GKprog may reuse general know-how, non-client-specific components, and internal tooling.
7) Confidentiality
GKprog will treat client confidential information with reasonable care and use it only to deliver services, unless disclosure is required by law or authorized in writing.
8) Support & Change Requests
Any change to scope, timeline, or deliverables may require a written change request and may impact pricing and schedule.
9) Limitation of Liability
To the maximum extent permitted by law, GKprog is not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, production downtime, or loss of data). Liability, if any, is limited to the amounts paid for the specific service giving rise to the claim, unless otherwise required by law or contract.
10) Governing Law
These Terms are governed by the laws of Canada and applicable provincial law.
